Introduction

These Terms & Conditions, together with any documents they expressly incorporate by reference (collectively, the "Terms & Conditions"), govern the relationship between Connect Ville (PVT) Ltd, and anyone who uses, has access to, or attempts to use or gain access to any application, functionality, or digital asset owned, provided by, or otherwise affiliated with or disseminated by CONNECT VILLE on or through www.connectville.io (the "Website").

You acknowledge and agree that, in the event of a dispute, both you and CONNECT VILLE are waiving the right to a trial by jury and the right to participate in any class action or representative proceeding. Specifically, you agree that no claim under these Terms & Conditions or related to the Website may be brought as part of a class action, collective action, or representative action.

You further agree that any dispute or claim arising from or in connection with these Terms & Conditions shall be settled exclusively through binding arbitration, unless you or CONNECT VILLE opt for litigation in the appropriate courts of Sri Lanka. Any arbitration shall be conducted in accordance with the applicable rules and procedures, with the arbitration venue being Sri Lanka unless otherwise agreed upon by both parties.

Fees

Failure to remit any owed fees may result in the immediate suspension or termination of your account without notice.

Refund requests for any fees already paid will be evaluated on a case-by-case basis, and CONNECT VILLE reserves the right to deny any refund request at our sole discretion, for any reason.

You are solely responsible for ensuring compliance with all applicable tax, accounting, and reporting laws in your jurisdiction. CONNECT VILLE is not liable for any failure to comply with local, state, or federal laws that apply to you or your organization. CONNECT VILLE assumes no responsibility for any interactions between you and other Users. All interactions with Users are conducted at your own risk.

Without limiting the generality of the above, CONNECT VILLE specifically disclaims any warranty that:

• The Services will be uninterrupted or error-free, or that any defects will be corrected;
• The Website and the servers that make the Services available are free of viruses or other harmful components; or
• The Content is accurate, complete, or free from typographical errors.

Limitation on Liability

To the fullest extent permitted by applicable law, in no event shall the collective liability of CONNECT VILLE, its subsidiaries, affiliates, licensors, service providers, employees, agents, officers, and directors, to any party (regardless of the form of action, whether in contract, tort, or otherwise) exceed the amount you have paid to CONNECT VILLE for the specific Service in the 03-month period immediately preceding the event giving rise to the liability.

This limitation of liability shall not apply to liability arising from gross negligence, willful misconduct, or any liability that cannot be excluded or limited by law.

Limitation on Time to File Claims

Any cause of action or claim you may have arising out of or relating to these Terms & Conditions or the Website must be filed within one (1) year after the cause of action accrues. If not filed within this period, such claims are permanently barred.

Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless CONNECT VILLE, its subsidiaries, affiliates, licensors, service providers, content providers, employees, agents, officers, directors, and other representatives from any third-party liabilities, claims, losses, damages, expenses, and costs, including reasonable attorneys' fees, arising from or related to your use or misuse of the Services or Content, or your breach of any representation or obligation under these Terms & Conditions.

CONNECT VILLE reserves the right, at its sole discretion and expense, to assume the exclusive defense and control of any claim for which you are required to indemnify us. You agree to cooperate fully with CONNECT VILLE in the defense of any such claim.

Miscellaneous

• Entire Agreement: These Terms & Conditions, along with our Privacy Policy, constitute the entire and exclusive agreement between you and CONNECT VILLE regarding the use of the Website and supersede all prior or contemporaneous agreements, representations, and understandings, whether written or oral, concerning the Website.
• Waiver and Severability: If CONNECT VILLE fails to enforce any provision of these Terms & Conditions, it does not waive its right to later enforce that or any other provision. If any provision of these Terms & Conditions is held to be invalid, illegal, or unenforceable by a court or other competent authority, the invalidity or unenforceability of such provision shall not affect the validity of the remaining provisions, which will remain in full force and effect.
